Terms of Service

Important: SAM — Social Account Market is a service-first, fully mediated marketplace. All communication, payments, delivery steps, and dispute handling must take place inside SAM. Direct buyer–seller contact and off-platform transactions are not permitted.

1. Introduction

Welcome to SAM — Social Account Market ("SAM," "we," "us," or "our"). SAM is a B2B platform where verified sellers offer professional services related to business social accounts and digital assets, and buyers order those services through a structured, platform-mediated workflow.

These Terms of Service ("Terms") govern your access to and use of the SAM website, applications, and related services (collectively, the "Platform"). By creating an account or using SAM, you agree to these Terms. If you do not agree, you may not use the Platform.

2. Platform Overview

SAM operates as a service-focused marketplace with the following core principles:

  • Buyers browse and order admin-approved services from verified sellers.
  • All order communication, clarifications, delivery notes, and revisions occur through SAM's mediated messaging system.
  • Payments, escrow handling, refunds, and payout releases are processed through SAM — not directly between users.
  • Delivery and transfer steps follow a structured workflow with proof submission, review, and buyer confirmation.
  • Custom requests are managed internally by SAM administrators and assistants; sellers are assigned through the platform.
Attempting to move conversations, payments, or service delivery off the Platform violates these Terms and may result in account suspension or termination.

3. Account Creation and Roles

3.1 Eligibility

You must be at least 18 years old and authorized to enter binding agreements on behalf of yourself or your organization. You agree to provide accurate, current, and complete registration information.

3.2 Account Roles

SAM supports role-based access, including but not limited to:

  • Buyer — orders services, submits custom requests, and manages company social assets.
  • Seller — lists and delivers verified services through SAM's approval and mediation workflow.
  • Company Owner / User — manages team access and company-owned social accounts within a buyer organization.
  • Admin — oversees platform operations, service approval, payments, disputes, and policy enforcement.
  • Assistant — supports verification, mediation, delivery review, and customer operations under admin oversight.

3.3 Verification and Responsibilities

SAM may require identity, business, or ownership verification before granting access to certain features. You are responsible for safeguarding your login credentials, all activity under your account, and ensuring that anyone using your account complies with these Terms.

4. Services and Orders

4.1 Marketplace Services

Sellers may publish services subject to SAM review and approval. Services must accurately describe the service scope, platform, category, pricing, delivery expectations, and any requirements. SAM reserves the right to reject, modify, suspend, or remove services that are misleading, non-compliant, or outside platform policy.

4.2 Ordering Process

When a buyer places an order:

  • The order is created and tracked entirely within SAM.
  • Payment is initiated through SAM's payment workflow.
  • Seller delivery obligations are fulfilled through platform-mediated steps only.
  • Buyers may request clarifications or revisions through SAM tools — not through external channels.

4.3 Platform-Mediated Delivery

Service delivery must be documented inside SAM, including delivery notes, attachments, status updates, and proof of completion where applicable. SAM administrators and assistants may review submissions before they are shared with buyers or marked complete.

5. Custom Requests

Buyers may submit custom service requests describing business needs that are not met by existing services. Custom requests are handled through an internal SAM workflow:

  • Requests are reviewed by SAM administrators for scope, compliance, and feasibility.
  • Qualified sellers may be assigned to respond with proposals through the Platform.
  • Assistants may support buyers and sellers during scoping, clarification, and delivery.
  • Accepted proposals become orders governed by the same payment, communication, and delivery rules as standard service orders.

SAM does not guarantee that every custom request will receive proposals or result in a completed order. Assignment decisions remain at SAM's discretion.

6. Payments, Escrow, and Refunds

6.1 Platform Payments Only

All payments for services ordered through SAM must be made via the Platform. Off-platform payments, invoicing outside SAM, cryptocurrency handoffs, or any arrangement intended to bypass SAM fees or mediation are strictly prohibited.

6.2 Escrow and Release

SAM may hold funds in escrow or equivalent controlled payment states until delivery milestones are met, proof is submitted, and the buyer confirms completion — or until an admin/assistant resolves the order under dispute or exception procedures.

6.3 Refunds and Adjustments

Refunds, partial releases, cancellations, and payment adjustments are determined by SAM according to order status, delivery evidence, dispute outcomes, and applicable platform policies. Users may not unilaterally demand off-platform settlement.

7. Communication Rules

All communication related to orders, proposals, custom requests, delivery, disputes, and account support must occur inside SAM.

The following are prohibited:

  • Sharing personal email addresses, phone numbers, social handles, messaging app IDs, or meeting links to communicate about SAM orders.
  • Soliciting or accepting off-platform deals, side payments, or private arrangements.
  • Using SAM messaging to send spam, harassment, threats, or unrelated promotional content.
  • Attempting to circumvent SAM moderation, audit logging, or assistant review.

SAM may monitor, filter, flag, or restrict messages to enforce these rules and protect marketplace integrity.

8. Delivery and Transfer Workflow

For applicable services involving account setup, management, or transfer, users must follow SAM's structured workflow:

  • Sellers submit delivery notes, documentation, and proof through the Platform.
  • Assistants or administrators may review materials for completeness and compliance.
  • Buyers confirm receipt or request revisions only through SAM order tools.
  • Transfer steps, where applicable, remain documented with audit logs for accountability.

Users must not attempt to complete delivery or transfer outside SAM once an order has been placed on the Platform.

9. User Conduct and Prohibited Activities

You agree not to:

  • List, sell, or request services involving stolen, hacked, fraudulent, or unauthorized accounts or assets.
  • Misrepresent ownership, verification status, credentials, or delivery capability.
  • Create duplicate, fake, or misleading accounts or profiles.
  • Share contact information to bypass platform mediation.
  • Interfere with Platform security, APIs, or other users' accounts.
  • Violate applicable laws, platform policies, or third-party terms of service for linked social networks.
  • Engage in spam, scraping, or automated abuse of marketplace features.

SAM is built for legitimate business use. We reserve the right to investigate suspicious activity and cooperate with lawful requests where appropriate.

10. Moderation and Enforcement

SAM administrators and assistants may review services, messages, orders, attachments, and account activity to enforce these Terms and maintain marketplace safety. We may, at our discretion:

  • Approve, reject, or remove services and custom requests.
  • Place holds on payments or orders pending review.
  • Issue warnings, temporary restrictions, or permanent account suspension.
  • Terminate access for repeated or severe violations.
  • Preserve records in audit logs for compliance and dispute resolution.

11. Dispute Resolution

If a disagreement arises regarding an order, delivery, payment, or conduct, parties must raise the issue through SAM's dispute workflow. SAM will review order history, mediated messages, delivery evidence, and relevant platform records.

During an open dispute, users must continue to communicate only through SAM and cooperate with admin/assistant requests for information. SAM's decision regarding escrow release, refunds, or order closure is binding within the Platform, subject to applicable law.

12. Intellectual Property

12.1 Platform Content

SAM's branding, software, design, documentation, and platform content are owned by SAM or its licensors. You may not copy, modify, or distribute Platform materials except as permitted by these Terms or written authorization.

12.2 User Content and Services

You retain ownership of content you submit, but grant SAM a license to host, display, moderate, and use that content to operate the marketplace, provide support, and enforce policies.

12.3 Accounts and Digital Assets

Ownership and transfer rights for social accounts, business pages, and related assets remain with the lawful owner. SAM facilitates verified service delivery and documented transfers but does not claim ownership of third-party platform accounts unless expressly stated in a specific order agreement reviewed through SAM.

13. Limitation of Liability

SAM provides the Platform on an "as is" and "as available" basis. To the fullest extent permitted by law, SAM is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

SAM does not guarantee uninterrupted service, specific business outcomes, or third-party platform availability (such as social networks or payment processors). Our total liability for any claim relating to the Platform is limited to the fees paid to SAM for the specific order giving rise to the claim during the twelve (12) months preceding the event, except where prohibited by law.

Users are responsible for their own compliance with third-party platform rules and applicable regulations. SAM's role is to provide a mediated marketplace workflow — not to act as a legal advisor or guarantor of every transaction outcome.

14. Changes to These Terms

We may update these Terms from time to time to reflect product changes, legal requirements, or operational improvements. When we make material changes, we will post the updated Terms on this page and update the "Last updated" date. Continued use of SAM after changes become effective constitutes acceptance of the revised Terms.
